1.1 These Terms of Service (“Terms”) constitute a legally binding agreement between the user of the Services (“User,” “you,” or “your”) and Zero ToQuantum Corp., a company incorporated under the laws of the British Virgin Islands (“Zero ToQuantum,” “Nebula3 GameFi,” “Company,” “we,” or “us”).

1.2 By accessing, connecting to, or otherwise using any website, game, or application owned or operated by the Company (collectively, the “Services”), you confirm that you have read, understood, and agree to be bound by these Terms and by the Privacy Policy available at https://nebul3gamefi.com/privacy.

1.3 If you do not agree with these Terms or the Privacy Policy, you must immediately cease all access and use of the Services.

ARTICLE 2 – Definitions

For purposes of these Terms, the following expressions shall have the meanings set forth below:

(a) “Account” means a registered profile or linked blockchain wallet enabling participation in the Services.

(b) “Digital Asset” means any cryptographic token, in-game currency, non-fungible token (NFT), or similar blockchain-based unit of value.

(c) “Game” means each interactive entertainment product made available by the Company through the Services.

(d) “NFT” means a non-fungible token recorded on a public blockchain signifying digital uniqueness or ownership of associated content.

(e) “Token” means a fungible digital utility token used within the Nebula3 GameFi ecosystem.

(f) "Wallet” means third-party software or hardware used to store or transmit Digital Assets.

ARTICLE 3 – Eligibility, Access, and Jurisdictional Compliance

3.1 The Services are intended only for persons legally permitted to use blockchain-based applications in their jurisdiction.

3.2 Age eligibility follows each Game’s official rating; minors may use only where permitted by local law and with appropriate guardian consent.

3.3 Access is expressly prohibited to residents or nationals of Cuba, Iran, North Korea, Syria, Crimea, or any territory subject to comprehensive U.S., U.K., E.U., or U.N. sanctions.

3.4 You are solely responsible for ensuring that your access to and use of the Services complies with all laws and regulations applicable to you.

3.5 Zero ToQuantum reserves the right to restrict, suspend, or terminate access without prior notice for legal, regulatory, or security reasons.

ARTICLE 4 – Nature of the Services

4.1 Nebula3 GameFi provides a decentralized, multi-chain gaming ecosystem enabling Users to engage with games, mint or trade NFTs, and interact with blockchain-based assets.

4.2 The Services are non-custodial; the Company does not store private keys, seed phrases, or user-owned Digital Assets and assumes no responsibility for any on-chain transaction.

ARTICLE 5 – Digital Assets, Tokens, and NFTs

5.1 All Tokens and NFTs made available through the Services are intended solely for entertainment and in-platform utility.

5.2 Such Tokens and NFTs have no intrinsic monetary value, are not securities, not investment contracts, and not financial instruments under the laws of any jurisdiction.

5.3 Ownership of a Token or NFT does not grant any right to dividends, voting, profit-sharing, or participation in the management of the Company.

5.4 All blockchain transactions are immutable and irreversible. Zero ToQuantum cannot modify, cancel, or reverse any confirmed transaction.

ARTICLE 6 – Wallet and Blockchain Interaction

6.1 You are solely responsible for maintaining the confidentiality and security of your Wallet, private keys, and recovery phrases.

6.2 Zero ToQuantum shall not be liable for any loss of Digital Assets resulting from theft, compromise, user error, or malfunction of any third-party Wallet.

6.3 Blockchain networks may experience delays, forks, or technical failures beyond the Company’s control.

6.4 By initiating any blockchain transaction, you acknowledge that you are interacting directly with the relevant network and not with Zero ToQuantum.

6.5 Smart-Contract Disclaimer: Smart contracts deployed through the Services are self-executing and operate autonomously. The Company cannot alter, reverse, or cancel any transaction once confirmed on-chain.

ARTICLE 7 – User Obligations and Prohibited Conduct

7.1 You agree to use the Services only for lawful purposes and in accordance with these Terms.

7.2 You shall not: (a) engage in fraud, money-laundering, or market manipulation; (b) use automated scripts or bots to exploit gameplay or blockchain features; (c) circumvent security measures; (d) access or use the Services from sanctioned jurisdictions.

7.3 Zero ToQuantum may investigate any suspected violation and cooperate with law-enforcement authorities.

7.4 Security Disclosure: If you discover a vulnerability or exploit, you must immediately report it to security@ztqgames.com and refrain from public disclosure prior to remediation. The Company may, at its discretion, acknowledge or reward responsible disclosures.

ARTICLE 8 – Intellectual Property Rights

8.1 All intellectual-property rights in and to the Services, including but not limited to trademarks, copyrights, trade dress, graphics, and software code, are owned by Zero ToQuantum Corp. or its licensors.

8.2 Users retain ownership of their own User-Generated Content (“UGC”) but hereby grant the Company a perpetual, worldwide, royalty-free, sublicensable license to reproduce, display, and distribute such UGC within the Services and for promotional purposes.

ARTICLE 9 – Fees, Payments, and Taxes

9.1 Certain features of the Services may require payment of fees disclosed in advance.

9.2 Users are responsible for all blockchain “gas” fees and any taxes arising from transactions.

9.3 The Company is not liable for exchange-rate fluctuations or third-party processor issues.

9.4 All transactions are final and non-refundable except as required by law.

9.5 Airdrop and Refund Limitation: The Company is not obligated to refund or replace any Token, NFT, or Digital Asset lost through user error or smart-contract behavior. Participation in any airdrop or promotional event does not create investor, employment, or partnership status.

9.6 Tax Responsibility: Users are solely responsible for determining, reporting, and paying applicable taxes, including income, capital-gains, or value-added taxes. The Company provides no tax or accounting advice.

9.7 Regulatory Changes: The Company may amend, suspend, or modify any Token, NFT, or reward mechanism to comply with evolving law or regulatory guidance. Such actions shall not constitute breach of these Terms or give rise to any claim for compensation.

ARTICLE 10 – Data Collection and Privacy

10.1 The Company collects limited operational data, such as wallet address, device ID, and usage metrics. It does not collect government-issued identification, payment credentials, or private keys.

10.2 Data processing complies with the British Virgin Islands Data Protection Act (2021) and the General Data Protection Regulation (EU 2016/679) (“GDPR”).

10.3 Personal data is used solely to provide and improve the Services, ensure security, and meet legal obligations.

10.4 Aggregated or anonymized data may be analyzed for statistical or operational insight. The Company never sells personal data.

10.5 Data is retained only as long as necessary for its intended purpose or as required by law, after which it is securely deleted or anonymized.

10.6 Users may request access, correction, or deletion of their personal data by contacting support@ztqgames.com.

10.7 Cookies and similar technologies may be used for session management and analytics. Details are provided in the Privacy Policy referenced above.

ARTICLE 11 – Third-Party Links and Services

11.1 The Services may contain links to, or integrations with, third-party websites, wallets, or smart contracts.

11.2 Zero ToQuantum has no control over such third parties and disclaims all responsibility for their content, functionality, or security.

11.3 Your interactions with third parties are solely between you and those entities.

11.4 Developer Integrations: Game studios or third-party developers integrating content or smart contracts into the Services are solely responsible for legality, accuracy, and performance of their integrations. Zero ToQuantum shall not be liable for any error or failure arising therefrom.

ARTICLE 12 – Disclaimers and Risk Acknowledgement

12.1 The Services are provided “AS IS” and “AS AVAILABLE.”

12.2 Use of blockchain technologies entails inherent risks, including loss of private keys, token volatility, software bugs, and regulatory actions.

12.3 Zero ToQuantum disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12.4 No advice or information obtained from the Company shall create any warranty not expressly stated herein.

ARTICLE 13 – Limitation of Liability

13.1 To the maximum extent permitted by law, the total aggregate liability of Zero ToQuantum for all claims arising under these Terms shall not exceed the greater of US $100 or the total fees actually paid by the User to the Company in the twelve (12) months preceding the event giving rise to the claim.

13.2 In no event shall Zero ToQuantum be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits or data, even if advised of the possibility thereof.

ARTICLE 14 – Indemnification

The User shall indemnify, defend, and hold harmless Zero ToQuantum Corp., its officers, employees, agents, affiliates, and partners from and against any claim, liability, damage, or expense arising out of the User’s (a) use of the Services, (b) breach of these Terms, or (c) violation of any law or third-party right.

ARTICLE 15 – Modification, Suspension, and Termination

15.1 The Company may modify these Terms at any time by posting an updated version at https://nebul3gamefi.com/terms.

15.2 Material amendments shall take effect seven (7) days after publication. Continued use after such date constitutes acceptance.

15.3 The Company may suspend or terminate any User’s access at its discretion for violation of these Terms or applicable law.

ARTICLE 16 – Governing Law and Dispute Resolution

16.1 These Terms and any dispute arising hereunder shall be governed by the laws of the British Virgin Islands.

16.2 Any dispute, controversy, or claim shall be finally settled by arbitration administered by the British Virgin Islands International Arbitration Centre (BVI IAC) in accordance with its Rules.

16.3 The seat of arbitration shall be Road Town, Tortola, BVI, and the language shall be English.

16.4 The arbitral award shall be final and binding. Any award rendered may be recognized and enforced in any jurisdiction pursuant to the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards.

ARTICLE 17 – Force Majeure

Zero ToQuantum shall not be liable for any failure or delay due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or blockchain network outages.

ARTICLE 18 – Miscellaneous Provisions

18.1 These Terms constitute the entire agreement between the User and Zero ToQuantum regarding the Services.

18.2 If any provision is held invalid, the remaining provisions shall remain in full force and effect.

18.3 No waiver of any provision shall be deemed a continuing waiver.

18.4 The User may not assign rights or obligations without prior written consent; Zero ToQuantum may assign freely.

18.5 English shall be the governing language. Translations are for convenience only.

18.6 Notices may be delivered by posting on the website or by email to the address associated with the User’s Account.

18.7 Each revision of these Terms shall state its effective date and version number.

18.8 Headings are for convenience only and do not affect interpretation.

18.9 Survival: Articles 5, 6, 7, 9, 10, 12 through 16, 19 through 23 shall survive termination of these Terms for any reason.

ARTICLE 19 – Compliance and Sanctions

19.1 Zero ToQuantum complies with applicable Anti-Money-Laundering and sanctions regulations.

19.2 Users represent and warrant that they are not designated on any list of prohibited persons published by the U.N., U.S. (OFAC), E.U., or U.K. (HM Treasury).

19.3 The Company may restrict access for sanctioned individuals or jurisdictions.

19.4 KYC/AML Disclosure: The Company does not itself perform Know-Your-Customer or AML verification. Users engaging via third-party exchanges or fiat on-ramps must comply with those providers’ requirements.

ARTICLE 20 – Copyright Infringement and DMCA-Style Notice

20.1 If you believe that any content within the Services infringes your copyright, you may submit a notice to support@ztqgames.com including :

(a) identification of the copyrighted work;

(b) identification of the allegedly infringing material;

(c) your contact details; and

(d) a statement under penalty of perjury that you are authorized to act on behalf of the rights holder.

20.2 Upon receipt of a valid notice, Zero ToQuantum may remove or disable access to the material and notify the User responsible.

ARTICLE 21 – Law-Enforcement Cooperation

Zero ToQuantum may disclose information to competent authorities where required by law or when reasonably necessary to protect the rights, property, or safety of Zero ToQuantum, its Users, or the public.

ARTICLE 22 – Ethical Use and Community Standards

22.1 Nebula3 GameFi promotes fairness, inclusivity, and transparency.

22.2 Users must not engage in harassment, hate speech, or conduct detrimental to the community or its partners. Violation may result in suspension or termination.
